Income from property management (IFPM) excluding one-offs was EUR 12.5m, up 6% y/y but 9% below our estimate, and 7% below consensus. The reported IFPM was EUR 12.2m. Reported IFPM included EUR -0.3m of one-off items (FX differences). Fair value changes were EUR -22.3m (1.2% of portfolio) as average valuation yield expanded by ~0.1pp and was 6.5% (6.4% in Q4 2023). Also, a writedown was made on an asset in Lahti, leased to Kesko, from where Kesko will move out in 2-3 years. Discussions are ongoing to find a new tenant/solution for the property. This will prolong maturities for bonds from 1.4 years to 3.8 years and reduce the average interest rate margin of the bonds by ~2.3 pp. At the end of 2023, Cibus had 14% of its debt financing in bonds and 84% in secured bank loans (and a EUR 30m hybrid bond). The average margin on the secured bank loans was 1.7% at the end of 2023 with an average maturity of 1.9 years. The refinancing with new bond issues provide additional flexibility to the financing structure and should be considered positive news for Cibus, in our view.

According to Cibus, discussions with the larger shareholders indicate that there is currently not sufficient support for the introduction of class D shares, nor the bonus issue. As a consequence, the dividend proposal for existing shares is returned to EUR 0.99 per share versus the combination of EUR 0.75 per class A share and EUR 0.96 per D share (four A shares would have entitled to on D share in the bonus issue). We had expected the introduction of class D shares to increase the financing flexibility for Cibus in its ambitious growth targets and would also have been a tool for the company to reach its investment grade (IG) readiness by the end of 2023. D shares have a fixed dividend and are thus priced as a bond while they are treated as 100% equit y by rating agencies. Hence, without the option of D shares, Cibus will need to finance the equity part of its growth through common equity issuance, in which it has been successful in recent years by issuing shares at a substantial premium to EPRA NRV. D shares would have been a good tool to use in the case that Cibus’ share price would have been momentarily at a lower level as D shares would incur less dilution if common shares are trading at a low price. The properties are located in Denmark and are rented out with an average lease length of 5.3 years with, among others, Coop Denmark, Salling Group, Dagrofa and Reitangruppen as tenants. The rentable area amounts to ~76,600 square metres, corresponding to a purchase price of EUR 3,655/m2. Cibus’s earnings capacity-based net operating incime (NOI) will increase to EUR 102.2m from EUR 85.5m at the end of 2021, implying an NOI of EUR 16.4m of the acquired portfolio. Hence, the net yield of the acquisition is ~5.9%, which we find attractive given Cibus’s average valuation yield of ~5.7% for the current portfolio and Cibus trading at an implied yield of ~4.6%. The transaction will be financed, among others, through a dire cted share issue of up to 4.4m shares (EUR ~95m on 24 March closing price of SEK 223.6). The shares that Cibus will acquire will be bought for ~DKK 1,045m (EUR ~140m) and the rest with debt and available cash. We expect net debt to increase by EUR 185m. The acquisition grows Cibus’s portfolio size and NOI by ~19% and we estimate EPS accretion to be around 8%, including the issuance of 4.4m new shares. The share has declined by 16% this week with no company specific news, which makes the deal somewhat less attractive given the higher dilution. We nevertheless expect a clearly positive share price reaction on the deal announcement, especially given the share price weakness over the last four days.

The properties are fully let to Kiwi, Spar and Rema1000 with an average lease period of over nine years and a total leasable area of 8,700 sqm. The price per sqm of EUR ~3,200 is clearly higher than in acquisitions made in Finland and Sweden, but according to the CEO, the rents are also considerably higher in Norway. Based on our discussions with the CEO, the net yield is similar to the level of acquisitions in Finland and Sweden, which we estimate to be 6% or somewhat below. Positive that Cibus now also enters Norway, and we expect further acquisitions now in the country as easing pandemic restrictions enable a more active transaction market. The eight properties acquired correspond to ~2% of the total portfoli o, so the impact is minor on group level but we expect the expansion in Norway to continue, preferably also with larger portfolio transactions. Trading at a ~68% premium to EPRA NRV implies that Cibus’s assets are valued at a 27% premium to the reported asset value. 2/25/2021 8:45:36 AM - Cibus: Solid Q4 while IFPM burdened by one-offs - Nordea - Cibus posted Q4 rental income of EUR 17.6m and net rental income of EUR 16.7m, in line with our estimates and Infront consensus. Income from property management (IFPM) was EUR 9.3m, 9% below consensus of EUR 10.3m and 6% below our EUR 9.9m estimate. However, there were EUR 1.0m of non-recurring negative items; the administration costs included EUR 0.5m of costs related to the planned change of listing to the Nasdaq main list, and costs for conducting an inventory of fittings and equipment in the Swedish portfolio. Also, net financial items included a EUR 0.5m negative change in exchange rates. Adjusting for these, IFPM would have been in line with consensus. Fair value changes were EUR 1.3m for Q4 and EUR 6.5m for the full year (0.5% of portfolio). The dividend proposal is EUR 0.94, up from EUR 0.89 a year ago and higher than consensus of EUR 0.93 but lower than our EUR 0.95 estimate. The dividend yield is 5.8%. The earnings capacity-based IFPM per share is up at EUR 1.15 from EUR 1.10 after Q3 following the acquisitions conducted in Q4. We had expected EUR 1.17 and the difference is explained by somewhat higher administration and financial costs than we had forecasted. The company sees many potential acquisition targets in Finland and Sweden, and also assesses other Nordic markets. The company’s efforts to move to the share to the Nasdaq main list are continuing and the list change is expected to materialise during H1 2021. We do not expect a significant share price reaction on the Q4 result release.
